BY-LAWS OF LEGISLATIVE DISTRICT 9 REPUBLICAN COMMITTEE

ARTICLE I- NAME

A. The name of this organization shall be the LEGISLATIVE DISTRICT 9

REPUBLICAN COMMITTEE hereinafter referred to as the District.

B. The District shall be affiliated with the State Republican Party and the Maricopa County Republican Committee.

ARTICLE II- OBJECTIVES

A. To elect Republican candidates at all levels.

B. To promote an informed electorate through political education.

C. To foster loyalty to the Republican Party and to promote its ideals.

D. To increase the effectiveness of Republican workers in the cause of good government through active political participation.

E. To encourage all qualified Republican candidates to run for elective office.

ARTICLE III – MEMBERSHIP

A. The membership of the District shall be all elected and appointed

Republican Precinct Committeemen of Legislative District 9.

B. In addition to those duties prescribed by law and State and County By-

Laws, the duties of the members of the District shall be:

1. To attend all regular or special meetings of the District whenever

possible.

2. To attend all County statutory, mandatory and special meetings in

person or by proxy.

3. To attend All State statutory, mandatory and special meetings in

person or by proxy if elected to serve on the State Committee.

4. To organize and work in the precinct where elected or appointed, as

well as in the District, for the election of Republican candidates.

ARTICLE IV – MEETINGS

A. In even numbered years, no fewer than 12 regular monthly meetings will

be held.

B. In odd numbered years, no fewer than 6 regular monthly meetings will

be held.

C. Special meetings of the District may be called by the Chairman and

shall be

1. Called at the written request of two-thirds (2/3) of the Precinct Committeemen.

2. The Chairman shall call meetings of the Executive Committee at least every two months unless a majority of the Committee feels a given meeting may be postponed.

3. Component groups of the District may be asked to attend special meetings by the Chairman, or Vice- Chairman based upon needs

D. Notice of the District meetings shall be given to each Committeeman not later than ten days prior to the meeting.

B. The organizational meeting of the District shall be held no earlier than the second Saturday after the General Election and no later than the First Saturday of the following December.

F. A quorum for the transaction of any business shall be 25% of all Precinct Committeemen, present or by proxy.

ARTICLE V – ORGANIZATION

A. 1. The officers of the District shall consist of the Chairman. First and Second Vice-Chairman, Secretary and Treasurer.

2. These officers shall be elected at the Statutory meeting of the District as prescribed by the Arizona Revised Statutes. These officers shall serve two-year terms.

3. All officers of the District shail be Precinct Committeemen of the Legislative District. If an officer moves within the District and is appointed a Precinct Committeeman in his new precinct, he shall continue to hold District Office.

B. I. The duties of the Chairman, in addition to those specified in the County By­Laws shall be:

a. To preside at all meetings of the District organization.

b. To represent the District as a member of the Maricopa County Executive Guidance Committee in accordance with the County By­laws.

c. To appoint all committee chairmen and committees (except the Nominating Committee) with the advice of the Executive Committee.

d. To keep members of the District organization informed of the activities of the District , County, and State Committees.

2. The duties of the First Vice-Chairman shall be:

a. To perform all duties of the Chairman in his absence.

b. To assist the Chairman in filling Committee assignments, and to

coordinate the activities of the Area Coordinators and Precinct

Coordinators in precincts.

c. To act as Finance Chairman for the District.

3. The duties of the Second Vice-Chairman shall be:

a. In the absence of the Chairman and the First Vice-Chairman to perform

their duties.

b. To act as Program Chairman for the District, and to promote education

and Get-Out-The -Vote programs.

4. The duties of thc Secretary shall be:

a. To take the minutes of all regular, Executive Committee and Special

meetings of the District.

b. To keep a complete and up-to-date roster of the Officers. Area

Coordinators, Precinct Coordinators, Precinct Captains, and Precinct

Committeemen,

c. To handle the necessary correspondence and maintain the District’s

permanent records.

5. The duties of the Treasurer shall be:

a. To receive and be the custodian of all funds of the District and to pay all

bills upon authorization.

b. To keep an account of all monies received and disbursed, and to report

in full at regular meetings and as required by the Chairman.

c. To submit an annual report to the District and such other reports as

required by law.

6. Mandatory Resignations:

An elected District Officer shall resign his position upon formal announcement of candidacy or upon filing nomination petitions for any elective office except Precinct Committeeman

C. Other Leadership Positions

l a. The Executive Committee shall divide the District into four equal areas to be called District areas.

b The Executive Committee shall divide each district area into equal areas to be called precinct areas.

2 a The First Vice-Chairman shall nominate four district area coordinators for approval of the Executive Committee. Area Coordinators shall serve at the pleasure of the Executive Committee. Area Coordinators shall not be an elected officer and shall reside in their district area.

B The duties of the Area Coordinators shall consist of but not be limited to the nomination of Precinct Coordinators, recruitment of Precinct Captains and Committeemen.

3 a Precinct Coordinators shall be nominated by Area Coordinators and approved by the Executive Committee. Precinct Coordinators shall not be an elected officer and shall reside in their precinct area, and be a Precinct Captain

b The duties of the Precinct Coordinator shall consist of but not be limited to the recruitment and training of Precinct Committeemen.

4. The Precinct Committeemen of each precinct shall elect a Precinct Captain from among their number within ten days after the general election. If there is only one committeeman elected or appointed, he will serve as Captain until such time as there are sufficient committeemen to hold an election. It shall be the responsibility of the Captain to provide the leadership necessary to meet the objectives of the Maricopa County Republican Committee and the Legislative District 9 Republican Committee. The obligations set forth by the Arizona Revised Statutes shall also be satisfied.

D. Committees

1. Executive Committee shall consist of the five elected officers. The Executive Committee shall act as an advisory group to the Chairman and shall assist him in managing the affairs of the District.

2. The District Chairman shall as required appoint chairmen of committees, fill vacancies, or add additional members with the approval of the Executive Committee.

F. Nominating Committee

1. A nominating Committee of five members shall be elected at the regular meeting preceding the organizational meeting. Nominations for members of this committee shall be made from the floor. The five receiving the highest number of votes shall constitute the committee and they shall elect their own chairman. The committee shall submit the name of at least one nominee for each office (with the organizational meeting call) having obtained the consent of the nominees to serve if elected.

2. Additional nominations for all elective officers may be made from the floor at all meetings where elections are held.

ARTICLE VI- FINANCIAL AFFAIRS

A. The District Chairman may authorize any expenditure up to $50.00 for routine expenses such as printing, postage, etc. Expenditures to be paid upon presentation of a receipt to the Treasurer. Expenses in excess of $50.00 shall be referred to the Executive Committee by the District Chairman for approval. Contributions from the District shall be authorized by the Executive Committee regardless of the amount.

B. The Chairman shall appoint an Audit Committee to make an annual audit of the Treasurer’s records in the month of September

ARTICLE VII- ELECTIONS

A. Organizational Meeting

1. All officers shall be elected at the organizational meeting of the District by a majority vote of the elected Precinct Committeemen present or by proxy as prescribed by law.

2. Nominations for District officers shall be made by a committee elected per the provisions of Article V, Section E.

3. Voting will be made by ballot except where only one nominee is being considered for an office, in which case election may be by voice vote of motion.

B. Conduct of Election

I. The Credentials Committee will certify the number of eligible votes as of the call to order and present its report for adoption by the membership.

2. Upon adoption of the Credentials report, the Nominating Committee will present its nominations in written form suitable for use as a ballot.

3. Each of the District officers will be separately considered in the order: Chairman, First Vice-Chairman, Second Vice-Chailman, Secretary, Treasurer.

4. Nominations from the floor will be entertained immediately prior to the ballot for that specific office.

5 Each candidate for District office may have nominating and seconding speeches not to exceed five minutes in total, if the candidate requests the time.

6. Election will be determined by the candidate receiving the majority of the votes cast for each office. If no candidate receives a majority of the votes, a second ballot will be cast which will be limited to the two candidates receiving the highest number of votes on the first ballot.

7. Balloting for the office of State Committeemen or Delegate to a convention will follow the balloting for District officers and proceed as follows:

a. The nominating Committee in advance of the organizational meeting, shall have a ballot prepared listing the names of all elected Precinct Committeemen.

b. The election will be determined by the candidates receiving the largest number of votes until the District quota is filled.

c. A list of up to ten alternates shall be made up from those not elected State Committeemen, in the sequence of the number of votes received.

d. Elected State Committeemen shall attend, in person or by proxy, both the Statutory and Mandatory meetings of the Arizona Republican Party.

C. Other District Elections

1. Precinct Captains will be elected or appointed per Maricopa County Republican Committee By-Laws.

2. Vacancies in elective office shall be filled by election no later than the District meeting immediately following the meeting at which the vacancy is announced The procedure followed in the conduct of such an lection shall conform as closely as possible to those outlined for the bi-annual organizational election these By-Laws.

D. Removal from Office

1. The District Chairman may be removed in accordance with the Maricopa County Republican Committee By-Laws.

2. An officer, other than Chairman, may be removed at any time by a two-thirds (2/3) vote of those present and voting at any meeting provided a notice of the proposed removal has been given in writing to all members at least ten days prior to the meeting at which the removal is to be voted on.

E. Party and Primary Elections

1 The District 9 Committee may take a position favoring one candidate over another in the election of officers of the Arizona Republican Party or the Maricopa County Republican Committee.

2. The District 9 Republican Committee and the Executive Committee shall not take an official position in any guise, including financial, favoring one Candidate over another in any Republican Primary Election.

3. The restriction concerning endorsements of candidates as outlined in Paragraph 2 shall not apply to individual Precinct Committeemen. It also does not apply to such non-partisan public elections such as municipal, school districts, referenda, etc.

F. General Elections

No Precinct Committeeman shall openly endorse or work for any candidate in the General Election other than the Republican candidate elected in the Primary Election.

G. Vacancy in Legislature

1. If a vacancy occurs in the State Legislature and the seat was represented by a Republican Party member, recommendation to fill the vacancy shall be made in accordance with Arizona Revised Statutes.

2. Within twenty one days if the legislature is not in session, or, five days if the Legislature is in session; the District Elected precinct committeemen shall by a majority vote select three qualified electors to fill the vacancy.

3 Fifty per cent or more of the elected precinct committeemen of the district, or their proxies shall constitute a quorum for this purpose.

4. Complete procedures are in Appendix A to these By-Laws.

ARTICLE VIII- AMENDMENTS

A. Amendments to these By-Laws may be effected by two-thirds (2/3) vote of the Precinct Committeemen in person or by proxy.

B. Amendments may be introduced at any regular meeting of the District. The proposed amendment must be E-mailed and /or regular mailed to the Precinct Committeemen by the Chairman twenty days (20) days prior to the next meeting.

C. Consideration of the amendment will be at the next meeting of the District, to he held not more than forty five (45) days following introduction of the amendment.

D. Any amendment that fails may not be reintroduced for at least one year

F Any amendment achieving ratification will become effective upon adjournment of the meeting at which it was ratified.

ARTICLE IX – APPLICABILITY

These By-laws shall conform to and incorporate by reference the National, State and County By-Laws and the Arizona Revised Statutes.

ARTICLE X – DURATION

These By-laws shall take effect upon ratification at the meeting at which they are voted upon and shall continue in effect until amended as provided for in Article VIII.

ARTICLE Xl- PARLIAMENTARY AUTHORITY

Robert’s Rules of Order Newly Revised shall govern this organization in all matters of procedure not covered in these By-laws.

ARTICLE XII- EFFECTIVE DATE

These original By-laws were adopted at the District regular meeting and became effective upon ratification at the meeting on the 21st day of November ,2002.
